Under 17 CFR 243.100, when an issuer discloses material nonpublic information to securities market professionals, or to holders likely to trade on it, the issuer must make public disclosure of the same information. The disclosure must be simultaneous for an intentional disclosure and prompt for a non-intentional one.
How disclosure is made. Under 17 CFR 243.101(e), an issuer can furnish or file a Form 8-K. It can also use another method, or a combination of methods, reasonably designed to provide broad, non-exclusionary distribution of the information to the public. The rule names no wire service.
